Terms of Service

These terms govern access to and use of Contexta (the “Service”), operated by ELab Limited (“ELab”, “we”, “us”, “our”). “You” means both the individual using the Service and any organisation on whose behalf they act.

1. Accepting These Terms

By using the skill builder, creating an account, requesting a sign-in code, signing in, connecting an AI product or otherwise using the Service, you agree to these terms. If you use the Service on behalf of an organisation, you accept these terms for that organisation and confirm that you are authorised to bind it.

Your organisation may also have a separate written agreement with ELab for Contexta, for example on an Enterprise plan. If that agreement and these terms conflict, the signed agreement applies.

2. The Service

Contexta holds your skills and company context and delivers them to the AI products you connect. The Service includes:

  • the Contexta website and its public skill builder;
  • the Contexta dashboard, where you manage your workspace, skills, rules, spaces and members;
  • the Contexta connection (MCP server) and plugins, through which supported AI products retrieve your skills and company context.

Some features are restricted to admins or editors within an organisation, some depend on your plan, and certain platform-wide features are restricted to ELab staff. Your knowledge base stays in your own storage, and the Service does not change the permissions you set there.

3. Accounts and Organisations

You sign in with your email address and a one-time code. You are responsible for keeping access to your sign-in email secure and for all activity under your account.

The first person to join an organisation becomes its admin. Admins can invite and remove members, assign roles and choose which email domains can join. If you join an organisation’s workspace, its admins manage your access to it.

A workspace belongs to the organisation, not to the person who created it. We recommend that every organisation keeps at least two admins. If an organisation has no remaining admin, a member with an email address at the organisation’s domain can ask us to make them an admin. We will confirm the request with the organisation, for example with a director or another authorised contact, before we change access.

Anyone can use the free Individual plan, including with a personal email address. To create an organisation with more than one member, or to let people join by email domain, you need an email address at your organisation’s own domain.

4. Plans and Billing

The Individual plan is free for one person, with no card required. Its limits are shown on our pricing page.

Team, Department and Business are paid plans, priced per seat in US dollars and billed monthly or annually. A seat is a person who connects their AI to Contexta. Each plan has a people limit. When your organisation moves beyond it, the next plan applies, and we show you the new total before you confirm. Enterprise pricing and terms are agreed separately.

Payments are processed by Stripe. Your subscription to Claude, ChatGPT or any other AI product is separate and is not included in your Contexta plan.

Paid plans start with a 7-day free trial, and no card is needed to start it. To keep the paid plan, add a payment method before the trial ends. If you don’t, the paid plan ends with the trial. Your workspace and its content are kept, and you can subscribe at any time.

Subscriptions renew automatically at the end of each monthly or annual period until cancelled. Admins can cancel at any time from the billing page. Cancellation takes effect at the end of the current paid period, and your organisation keeps access until then.

Fees are not refundable for part of a period, except where the law requires a refund. We may choose to give a refund in other cases.

You choose the number of seats when you subscribe, and each person who connects their AI to your workspace needs one. Invitations that have not been accepted do not use a seat. When you add seats or move to a higher plan, we charge the difference for the rest of the current period straight away. When you remove seats or move to a lower plan, the change takes effect at your next renewal.

We charge in US dollars. Prices exclude taxes. Customers in New Zealand are charged GST at the applicable rate, and customers elsewhere are responsible for any taxes that apply where they are.

We will give organisation admins at least 30 days’ notice of a price change by email. The new price applies from your first renewal after the notice period ends.

If a payment fails, we will retry it and email your organisation’s admins. If it remains unpaid 14 days after it was due, your workspace moves to the limits of the free plan. Nothing in it is deleted, and paying the amount owed restores your plan.

5. The Skill Builder and Downloaded Skills

You can use the public skill builder on our website to create or improve a skill without an account. The builder uses AI to draft a skill from what you give it. We may limit how many skills you can generate.

Only give the builder information you are entitled to share. Do not include passwords, API keys, confidential documents or personal information you are not authorised to share.

When you download a skill, you receive a copy saved to your device. You are responsible for that copy, including reviewing it, deciding where you use it and who you share it with, and keeping it up to date. A downloaded copy does not change when a skill is updated in Contexta. To keep a skill in Contexta, save it to your workspace.

As between you and ELab, you own the skills you create with the builder. Some skills include structure and methods that ELab has developed. ELab keeps ownership of those methods and gives you a perpetual, worldwide, royalty-free licence to use them as part of your skills. You may not sell or license ELab’s methods separately from your skills.

6. AI Output

Contexta works with AI, and AI output can be wrong, incomplete or unsuitable for your situation. You must review any skill the builder produces, and any work your AI produces using Contexta, before you rely on it. Do not treat the Service or AI-generated output as legal, financial, tax, accounting or other professional advice. You remain responsible for your decisions and for the work you produce.

7. Acceptable Use

You agree not to:

  • attempt to access organisations, workspaces, skills or rules other than those granted to you;
  • probe, scan or test the vulnerability of the Service, or circumvent any access control, usage limit or rate limit;
  • upload content that is unlawful, infringing or malicious, or that contains personal information you are not authorised to share;
  • use the Service unlawfully;
  • use the Service to build a competing product or to train models that replicate ELab’s methodology.

8. Your Content

You retain ownership of the skills, organisation rules, configuration, skill builder input and other content you submit. You grant ELab a non-exclusive licence to host, process and display that content for the purpose of operating the Service for you and your organisation. You are responsible for the accuracy and completeness of the instructions and data you provide.

We do not use your content to train general-purpose AI models. Our handling of personal information is described in our Privacy Policy.

9. ELab Content

Skills, methods and other materials that ELab makes available through the Service, including the methodology behind the skill builder, remain the intellectual property of ELab or its licensors. Nothing in these terms transfers ownership of that material to you.

If your organisation copies and edits a skill that ELab provides, your edits belong to you and ELab keeps ownership of the original. Your organisation may keep using its edited copy for its own work, including after it stops using Contexta, but may not sell or redistribute it.

10. Third-Party AI Products and Connectors

Contexta works with AI products, connectors and storage services that ELab does not control, such as Claude, ChatGPT, Cursor, Grok, SharePoint and Google Drive. Those products decide how they interpret instructions, present results and make requests to the Service, and they process information under their own terms. To use them with Contexta, you need your own account with each provider and the plan and permissions the connection requires.

Third-party providers may change their APIs, terms, prices, features, permissions, rate limits or security requirements, or may suspend or discontinue access. Those changes may delay, limit or prevent the Service from working with them. To the maximum extent permitted by law, ELab is not responsible for any unavailability, error, data issue, access restriction or loss caused by a third-party product, or for changes needed to stay compatible with it. We do not guarantee that any integration will remain available or unchanged.

To the maximum extent permitted by law, ELab is not responsible or liable for:

  • the acts, omissions, outputs, errors or decisions of any AI model, model provider or AI client software;
  • how a third-party client authenticates to, calls, retries or misuses the Service;
  • any action taken because an AI client or model requested it, except to the extent caused by ELab’s own failure to operate the Service in line with these terms.

You are responsible for choosing the AI products you use, controlling which people and systems can connect to your workspace, and reviewing material actions before you rely on them. A Contexta connection does not by itself give your AI access to your documents. That depends on the access set up in your AI product and your storage.

11. Confidentiality

We protect your organisation’s skills, rules and configuration as described in our Privacy Policy and on our Security and data page, including per-organisation isolation and restricted production access.

Each party may receive information from the other that is not public, including your organisation’s skills, company context and configuration, and ELab’s non-public methods, pricing and product plans (“confidential information”). Each party will keep the other’s confidential information confidential, use it only to provide or use the Service, and share it only with its staff, contractors and providers who need it for that purpose and are bound by similar obligations.

This does not apply to information that is or becomes public through no fault of the receiving party, that the receiving party already knew or developed independently, or that it receives lawfully from someone else. A party may disclose confidential information when the law requires it, and will tell the other party first where it lawfully can. These obligations continue after these terms end.

12. Service Availability

We aim to provide a reliable Service but do not guarantee uninterrupted access. We may modify, suspend or discontinue features at any time, and we may perform maintenance with or without notice.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis. We do not promise that it will be uninterrupted, error-free, secure or suitable for every purpose. To the maximum extent permitted by law, ELab excludes all warranties, guarantees, conditions and representations not expressly set out in these terms or in a separate written agreement with your organisation.

14. Limitation of Liability

To the maximum extent permitted by law, ELab is not liable for indirect, incidental or consequential loss.

To the maximum extent permitted by law, ELab’s total aggregate liability arising out of or in connection with the Service is limited to the amount paid by you or your organisation to ELab for the Service in the twelve months before the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Business Use, Consumer Guarantees Act and Fair Trading Act

The Service is supplied solely for business purposes. You represent that you, and any organisation you act for, are in trade and acquire the Service in trade.

Because the Service is supplied and acquired in trade, you and ELab agree that the Consumer Guarantees Act 1993 does not apply to the Service to the extent that it is fair and reasonable for the parties to be bound by this exclusion. Nothing in these terms limits rights or obligations under the Fair Trading Act 1986 or any other law that cannot lawfully be excluded.

16. Suspension and Termination

We may suspend or end access where reasonably necessary to protect the Service, comply with law or third-party requirements, respond to a security risk, address non-payment, or investigate suspected misuse or breach of these terms.

You may stop using the Service at any time. You can disconnect Contexta in your AI product’s connector or MCP settings, admins can remove members from their organisation, and you can copy your skills out of the dashboard.

What happens to your information afterwards is described in our Privacy Policy. To close an account or workspace, contact us at support@elab.co.nz.

17. Changes to These Terms

We may update these terms to reflect changes to the Service, third-party requirements or the law. We will publish the revised terms with a new “last updated” date and give reasonable notice of material changes where practicable, through the Service or by email to organisation admins. Continued use of the Service after a change takes effect constitutes acceptance of the updated terms.

18. Governing Law

These terms are governed by the laws of New Zealand, and the parties submit to the non-exclusive jurisdiction of the New Zealand courts.
